User Terms & Conditions

1.0. Introduction

These User Terms & Conditions govern the use of YUUNRI, a multi-vendor online marketplace operated by YUUNRI Afroshopping (haftungsbeschränkt) (“YUUNRI”).

YUUNRI enables users to purchase products from independent third-party vendors. By using the platform, you agree to these Terms and the Privacy Policy.

2.0. Role of YUUNRI

YUUNRI operates solely as a digital intermediary marketplace platform connecting Users with independent third-party Vendors and delivery providers.

Contracts for the sale of products or services are concluded directly between the User and the respective Vendor.

YUUNRI is not:

• the seller,
• reseller,
• manufacturer,
• distributor,
• restaurant operator,
• logistics provider,
• delivery carrier,
• or owner of Vendor products.

YUUNRI does not manufacture, store, prepare, package, or deliver products listed by Vendors.

Delivery services are performed by independent third-party delivery providers integrated into the platform.

YUUNRI solely provides:

• marketplace technology,
• order facilitation,
• payment coordination,
• customer support coordination,
• and platform administration services.

3.0. User Accounts

In order to access certain features of the YUUNRI platform, Users may be required to create and maintain a registered user account.

By creating an account, the User represents and warrants that:

• they are at least 18 years old or possess the legal capacity required under applicable law to enter into binding agreements;
• all information provided during registration is accurate, complete, and up to date;
• and they will maintain and promptly update such information where necessary.

Users are solely responsible for:

• safeguarding their login credentials,
• maintaining the confidentiality of their account information,
• restricting unauthorized access to their account,
• and all activities, transactions, orders, communications, or actions conducted through their account.

Users shall immediately notify YUUNRI of:

• any unauthorized use of their account,
• suspected security breaches,
• loss of login credentials,
• or suspicious account activity.

YUUNRI reserves the right to:

• suspend,
• restrict,
• verify,
• or terminate user accounts

where reasonably necessary to:

• protect platform security,
• prevent fraud,
• investigate suspicious activities,
• comply with legal obligations,
• or preserve marketplace integrity.

Users may not:

• create accounts using false identities,
• impersonate other persons or businesses,
• transfer accounts to third parties without authorization,
• or use the platform for unlawful, fraudulent, abusive, or unauthorized purposes.

The User remains responsible for all actions carried out through their account unless such actions result directly from proven security failures attributable to YUUNRI.

3.1. User Conduct

Users agree not to:

• misuse the platform,
• engage in fraudulent activity,
• submit false orders or claims,
• interfere with platform operations,
• violate applicable laws,
• infringe intellectual property rights,
• or abuse Vendors, delivery personnel, or customer support staff.

YUUNRI reserves the right to suspend or terminate accounts involved in suspicious, abusive, fraudulent, or unlawful activities.

3.2. Account Suspension and Termination

YUUNRI reserves the right to suspend, restrict, or terminate User accounts where reasonably necessary to:

• investigate fraud,
• protect marketplace integrity,
• comply with legal obligations,
• manage abusive behavior,
• or address security concerns.

4.0. Orders and Payments

Orders are binding once accepted by the Vendor.

Payments are processed exclusively via Stripe, a certified third-party payment processor.

YUUNRI does not store or process payment details.

4.1. Platform Availability

YUUNRI does not guarantee uninterrupted or error-free availability of the platform.

The platform may be temporarily unavailable due to:

• maintenance,
• technical failures,
• third-party service interruptions,
• API outages,
• payment processor issues,
• or operational updates.

Product prices, availability, delivery fees, and estimated delivery times are determined by Vendors and/or third-party service providers and may change without notice prior to order confirmation.

5.0. Delivery

Delivery of products ordered through the YUUNRI platform is carried out either:

• directly by the respective Vendor, or
• through independent third-party logistics and delivery providers integrated into the platform, including providers connected via API integrations.

YUUNRI is not a logistics carrier, courier service, transport operator, or delivery contractor and does not itself perform delivery services.

Delivery providers remain solely responsible for:

• delivery execution,
• transportation services,
• delivery timing,
• delivery routing,
• proof of delivery,
• delivery-related damages,
• failed delivery attempts,
• and all transportation-related obligations and liabilities.

Estimated delivery times displayed on the platform are indicative only and may vary depending on:

• Vendor preparation times,
• traffic conditions,
• courier availability,
• weather conditions,
• technical interruptions,
• operational constraints,
• or other circumstances beyond YUUNRI’s control.

Accordingly, delivery times are estimates only and are not guaranteed by YUUNRI.

Users are responsible for:

• providing accurate delivery information,
• ensuring availability at the delivery location,
• and being reachable during the delivery process.

Where delivery cannot be completed due to:

• incorrect delivery information,
• customer unavailability,
• failure to answer communication attempts,
• or other circumstances attributable to the User,

additional delivery fees, re-delivery costs, or cancellation charges may apply.

Risk relating to products shall transfer to the User upon successful delivery unless otherwise required by mandatory applicable consumer protection laws.

YUUNRI may facilitate delivery coordination, order tracking, customer support, and communication between Users, Vendors, and delivery providers but shall not assume liability for delivery execution or transportation-related claims.

6.0. Consumer Rights

Statutory consumer rights under German and EU law remain unaffected, including:

• the 14-day right of withdrawal, where applicable,
• statutory warranty rights.

Vendors are responsible for handling withdrawals, returns, and refunds.

Refunds, withdrawals, returns, and reclamations are additionally governed by the YUUNRI Returns & Refunds Policy as published on the platform from time to time.

7.0. Liability

To the maximum extent permitted by applicable law, YUUNRI shall not be liable for:

• product defects,
• Vendor conduct,
• delivery failures,
• inaccurate product descriptions,
• third-party service interruptions,
• indirect damages,
• loss of profits,
• or consequential damages.

YUUNRI’s liability for simple negligence shall be limited to breaches of essential contractual obligations and foreseeable damages typical for this type of agreement.

Nothing in these Terms excludes liability for:

• intent,
• gross negligence,
• injury to life, body, or health,
• fraud,
• or mandatory statutory liability under applicable law.

8.0. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising in connection with them shall be governed by the laws of the Federal Republic of Germany, excluding conflict of law principles.

Where legally permissible, the exclusive place of jurisdiction shall be Berlin, Germany.

Mandatory consumer protection rights under applicable German or EU law remain unaffected.

9.0. Force Majeure

YUUNRI shall not be liable for delays, interruptions, or failures resulting from events beyond its reasonable control, including:

• internet outages,
• cyberattacks,
• payment processor failures,
• logistics disruptions,
• governmental actions,
• labor disputes,
• natural disasters,
• or other force majeure events.

10.0. Intellectual Property

All intellectual property rights relating to the YUUNRI platform, software, branding, trademarks, logos, content, and marketplace systems remain the exclusive property of YUUNRI or its licensors.

Users may not:

• copy,
• reproduce,
• scrape,
• reverse engineer,
• distribute,
• or commercially exploit

any part of the platform without prior written consent.

11.0. Electronic Acceptance

Acceptance of these Terms through electronic confirmation on the platform constitutes legally binding agreement and shall have the same legal effect as a handwritten signature.

12.0. Amendments

YUUNRI reserves the right to modify these Terms from time to time for:

• legal compliance,
• operational requirements,
• security reasons,
• or platform improvements.

Updated Terms shall become effective upon publication on the platform or notification to Users.

Continued use of the platform constitutes acceptance of updated Terms.

13.0. User Communication Consent

Users agree that YUUNRI may send operational communications relating to:

• orders,
• deliveries,
• customer support,
• security,
• account management,
• and platform operations

via email, SMS, push notification, or other communication methods provided by the User.
